Governance Executive

Overview
A well‑established membership‑based organisation with a strong public profile is seeking a Governance Executive to join its Governance and Compliance function. Reporting to a senior governance leader, this role plays a critical part in supporting effective corporate governance, regulatory compliance, and high‑quality Board and Committee operations.
The position would suit an experienced senior administrator or governance professional who enjoys structured work alongside project and event delivery, and who is comfortable engaging with senior stakeholders in a confidential environment.
Key Responsibilities
Governance, Board & Committee Support- Provide secretariat support to Boards, Councils, and Committees
- Prepare agendas, commission and proof papers, manage action logs, and take accurate minutes
- Maintain governance calendars, trustee records, and statutory documentation
- Support senior office holders with governance administration, appointments, elections, and inductions
- Draft correspondence and documentation on behalf of senior leadership
- Maintain accurate governance records, registers, and safe custody of legal documents
- Ensure declarations of interest, codes of conduct, and confidentiality forms are completed and logged
- Assist with policy review and governance‑related projects
- Organise and deliver formal meetings, ceremonies, and governance‑related events
- Coordinate logistics including venues, virtual meetings, attendance, and associated arrangements
- Provide a high‑quality, confidential administrative service to the governance function
- Liaise effectively with internal and external stakeholders
- Support statutory meetings and long‑service or recognition processes
Person Specification
Experience & Knowledge- Experience in governance administration, board/committee support, or company secretarial work
- Proven experience dealing with confidential, sensitive information
- Experience preparing board packs, agendas, and minutes
- Experience working with senior stakeholders, trustees, or voluntary officers
- Knowledge of governance or compliance within a regulated, charitable, or membership environment (preferred)
- CGIG/ICSA qualified or part‑qualified (desirable but not essential)
- Excellent minute‑taking and written communication skills
- Strong organisational and planning ability with high attention to detail
- Proficiency in Microsoft Office (Word, Excel, Outlook); board portals or CRM systems an advantage
- Ability to work independently, prioritise workload, and meet deadlines
- Professional, discreet, and confident communication style
- A senior administrative role with real visibility and responsibility
- Exposure to high‑level governance and strategic decision‑making
